****Overall Responsibilities****
In this newly created role the General Counsel will play a strategic role in providing guidance and counsel at the senior levels of MSH in the areas of legal and reputational risk. The General Counsel will provide support to MSH’s global operations and business development activities and manages the compliance office. The General Counsel will also provide guidance and counsel and serves as the Secretary to the Board of Directors.
****Specific Responsibilities****
Legal Advisory Support (60%)
The General Counsel ensures that the day-to-day domestic and international legal needs of all MSH departments are adequately met through management and coordination of outside counsel. This responsibility includes advising MSH staff and leadership on legal issues and potential exposures through individual or group meetings, seminars or written opinions; reviewing, negotiating and/or drafting of contracts, leases, sample documents, policy statements, disclosures, solicitations, reports, publications, and releases for internal and external dissemination.
The primary areas of legal review relate to domestic and international matters, including: review of US government contract terms and conditions, intellectual property/trademark, governmental regulation and compliance, marketing and solicitation compliance, ethical standards, tax, employment, immigration, trust and estates, insurance, real property, advocacy, commercial litigation, taxation, registration, social enterprise, healthcare financing, and other general corporate matters.
Other areas include nonprofit status and obligations, governance, and internal investigations. The General Counsel oversees the legal resources for global compliance with law, regulations, and directives, and manages the organization’s counter-terrorism, fraud reporting, and whistleblower policies and procedures. The General Counsel prepares and manages an annual budget, and establishes and manages outside probono and paid legal service provider relationships for MSH.
Complicance Management (20%)
The General Counsel manages the compliance office that supports MSH’s enterprise risk management. Through this office, The General Counsel identifies and facilitiates the process to reduce areas of risk exposure to MSH. The compliance office is directly responsible for surveying the regulatory and legal operating environments to determine risks for MSH and recommending actions or options available to mitigate such risks. The compliance office convenes the compliance committee and documents and updates the GRC software to ensure up-to-date and accurate information is available to stakeholders.
Risk Management (15%)
Attends meetings of the Leadership Team as needed and meets with senior managers and other staff to obtain information about current and future projects and activities contemplated within MSH. The General Counsel reviews key project summaries, publications and other materials produced by each office or center to identify potential legal exposure; works with counsel for other non-profit agencies on legal issues of common interest to the non-profit and NGO communities; oversees relationships with outside legal counsel providing legal services to MSH in the US; assists with management of legal counsel relationships internationally and as requested by country offices; participates on committees, task forces, and in seminars to educate MSH internal clients on managing legal risk and exposure; available to all staff to listen and advise on work related to legal and ethical issues.
Board of Directors Support (5%)
Provides guidance and counsel and serves as the Secretary to the Board of Directors ensuring that appropriate governance processes are executed. Minutes the proceedings of the Board and ensures that meetings of the By-Law Committees are appropriately documented. Provides advice and guidance to the Board in its execution of its duties. Works with the Executive Assistant to the President and CEO to ensure Board fiduciary materials are compliant with local regulations and oversight bodies.
****Qualifications****
- Doctorate of Jurisprudence from an ABA-accredited law school and a license to practice law in a duly constituted governmental body of any state or territory of the USA or the District of Columbia, and not not suspended or disbarred.
- 7-10 years of legal practice as an attorney with 5-7 years of experience at a major law firm working with employment law, nonprofit, US Government or multilateral donor requirements, and/or corporate law.
- International experience in developing and emerging economy countries a plus. Familiar with soliciting and fundraising in multi-state contexts.
- 2-4 years of experience preferred as in-house counsel in an international non-profit organization that receives support from multiple donor types and streams and conducts operations in multiple developing nations or equivalent experience.
- Preference for proficiency in US Government grants and contracts regulations and providing guidance and advice in governing various business types.
- Excellent verbal and written communications and negotiations skills; excellent analytical abilities and legal research skill; proficiecy in word processing and internet research; ability to work in a diverse environment.
- Knowledge of a foreign language; experience in managing a legal department, experience in training and making presentations all a plus.
- Able to travel internationally up to 20% a year.
